Shareholders’ Meeting Notices – Mandatory Publication through the Electronic System for Commercial Entities (PSM)

We inform you that the Mexican Supreme Court of Justice (Suprema Corte de Justicia de la Nación) recently issued jurisprudence 1a./J. 77/2025, digital record 2030475, which clearly establishes the following:

• Since 2014, it is mandatory to publish calls to shareholders’ meetings through the Electronic System for Commercial Entities (PSM) managed by the Ministry of Economy. Failure to do so may result in the legal invalidity of the meeting, putting the validity of resolutions adopted at risk.
•  Although jurisprudence 1a./J. 76/2025 (digital record 2030474) was also recently issued, clarifying that first and second call notices may be published in a single or separate call depending on the company’s bylaws, publication through the PSM remains a mandatory and non-waivable requirement, without exceptions.

Key Recommendations

1. Always ensure that meeting calls are published through the PSM, and do not deem this as an optional requirement.
2. Review and, if necessary, amend the company’s bylaws to provide that the only valid means for publishing meeting calls is through the PSM.
3. Keep a record within the company files of each publication in the PSM, including the official PDF with the digital chain issued by the Ministry of Economy.

This jurisprudence reaffirms that publication through the PSM is essential for the legal validity of any shareholders’ meeting. Omitting this requirement can result corporate resolutions and decisions being invalid.
