BIO

With over twelve years of work experience, Jorge is a corporate lawyer with a master’s degree in business law. He has experience in renewable energy and social impact. He advises clients in various sectors, such as manufacturing, retail, energy, finance and technology.

Jorge advises national and international companies in structuring and negotiating mergers and acquisitions, strategic alliances (joint ventures), corporate reorganizations, and regulatory compliance. He also has experience in drafting and reviewing agreements, due diligence processes, and risk assessments. Some of the matters he has been involved in include the acquisition of a solar company with a significant presence in Mexico, syndicated credit reorganizations, and the negotiation of a strategic partnership for a Fintech company. He is a member of the board of directors of RedGirasol, a crowdfunding institution.

Jorge has published and given several specialized talks on financial technology and due diligence / M&A.

• Provides strategic advice to an international company specialized in the wholesale hardware sector, focusing on the negotiation of marketing agreements, franchise agreements and the efficient management of daily operations.
• Provided legal advice to an international company specializing in the manufacture and marketing of tires, in the process of acquiring the entirety of a tire business with an estimated value of US$1.36 billion. This initiative involves addressing several crucial aspects to ensure a successful transaction and effective integration.
• Provided strategic advice to a multinational company specializing in the manufacture and marketing of automotive lubricants that seeks to establish a joint venture through a 40% equity investment in a Mexican company in the same sector.
• Provided representation services to a multinational company specialized in surgical instruments, in the renegotiation process of a syndicated loan with a total value of US$265 million.
